Article I - NAME

101 The formal name of this organization shall be: The "University of Arizona Alumni Band," hereafter referred to in the bylaws as "UAAB".

102 UAAB may affiliate with and be organized under the authority of Article III, Sec. 300, Bylaws of the Arizona Alumni Association. The bylaws of UAAB shall be consistent with the bylaws of the Arizona Alumni Association.

Article II - PURPOSES
The purpose of the UAAB shall be:
  • A. To foster a spirit of interest & cooperation among band alumni toward the University of Arizona.
  • B. To support the UA Bands & their Directors
  • C. To encourage acquaintance and fellowship between alumni & current band members.
  • D. To strive for greater recognition of UA Band programs.
  • E. To be constantly alert for, and to stimulate the discovery of, potential talent in high schools for the UA Bands.
  • F. To create good will for the UA Bands.
  • G. To encourage respect for the high standards which the UA Bands strives to uphold.

Article III - MEMBERSHIP
301 Classes of Membership & Qualifications

  • A. Contributing Membership - Membership is open to all former students who have completed 30 or more units of credit at the UA, and served in any UA Band ensemble for one (1) semester or more. Contributing Members are eligible to take part in all UAAB activities. Contributing Members have one vote and may hold offices in the UAAB. Contributing Members will receive discounts and other benefits determined by the UAAB Board of Directors. Immediately upon graduation new alumni will receive one year of Contributing Membership, with dues waived for the first year.

  • B. Contributing Family Membership - Contributing Family Membership is open to any family with two or more members that pay dues to the UAAB. Contributing Family Memberships shall be defined by the UAAB Board of Directors. Contributing Family Members receive all benefits of Contributing Members, plus are allowed one vote for each eligible member.

  • C. Associate Membership - Membership is open to all former students who have completed 30 or more units of credit at the UA, and served in any UA Band ensemble for one (1) semester or more. Associate Members are eligible to take part in all UAAB activities. Associate Members may not vote or hold office.

  • D. Non-Alumni Associate Membership - The Board of Directors of the UAAB shall have the power to confer Associate Membership in the UAAB upon non-alumni. Non-alumni Associate Members may pay dues and become Contributing Members. As Contributing Members, non-alumni may not serve as officers in the UAAB.

  • E. Honorary Membership - The Board of Directors of the UAAB shall have power to confer Honorary Membership upon such persons as it shall deem worthy of such honor, and who have rendered outstanding service to the UAAB or University. Honorary Members may pay dues and become Contributing Members. As Contributing members, honoraries may not serve as officers in the UAAB.

  • F. Additional levels of membership - may be determined by the Board of Directors of the UAAB.

302 - Revocation & Reinstatement

  • A. Revocation of Membership - Members may be reprimanded, suspended, or expelled by the UAAB Board of Directors for failure to conform to the purposes of the UAAB, or for violation of these bylaws.

  • B. Reinstatement of Membership - Any individual who has been suspended or expelled for any reason, may petition the Board of Directors for reinstatement. The individual will submit a written request and explanatory statement to the Arbitration & Grievance Committee for consideration. Upon approval of the UAAB Board of Directors, the individual's membership will be reinstated.

Article IV DUES

401 The annual dues for UAAB memberships shall be determined by the UAAB Board of Directors.

Article V - MEMBERSHIP MEETINGS

501 - Annual Meeting - There shall be an annual meeting of the UAAB during the annual UA homecoming weekend, for election of Officers and the Board of Directors, for receiving of annual reports, and transaction of other business. Notice of the meeting shall be mailed to the last recorded address of each member, at least thirty (30) days prior to the annual meeting.

502 - Special Meeting - A Special meeting of the UAAB may be called by the President or a majority of Members of the Board of Directors, or shall be called by the President upon the written request of twenty-five percent (25%) of the Contributing Members of the UAAB. Notice of any special meeting shall be mailed to the last recorded address of each member, at least thirty (30) days in advance, with a statement of time, place and information as to the subject(s) to be considered.

503 - Voting Eligibility - Only those Contributing Members whose dues are paid in full prior to the convening of a meeting shall be considered to be in good standing and entitled to vote at said meeting.

504 - Quorums - For Membership Meetings of the UAAB, the voting membership present and in good standing shall constitute a quorum.

505 - Proxy Voting - All voting at annual or special meetings shall be in person and no proxies will be accepted.

506 - Order of Business - The Order of Business at Membership Meetings shall be determined by the Presiding Officer of the UAAB.

Article VI - UAAB OFFICERS

601 - Election of Officers - Officers shall be elected at the annual meeting of the UAAB, except the President-Elect shall automatically assume the office of President for the years immediately following his or her two year term as President-Elect.
  • Following the report of the Nominating Committee, the floor shall be opened for further nominations for each office to be filled.
  • If more than one person is nominated for a respective office, election shall be held and majority of the votes shall elect.
  • All officers, (Pres, Pres-Elect, Sec, Treas) upon election or appointment must immediately, if not already, become members of the UA Alumni Association and maintain that membership throughout the duration of their term of office.

602 - Term of Office - All Officers and Members-at-Large shall serve two (2) year terms on a staggered schedule.

  • Elections for President-Elect and three (3) Members-at-Large shall be held in odd-numbered years.
  • Elections for Secretary, Treasurer and three (3) Members-at-Large shall be held in even- numbered years.

603 - Vacancies - In case of any vacancy in the Board of Directors, the remaining members of the Board of Directors may elect a successor director or directors to hold office until the next annual election, with the exception of a vacancy in the office of President which shall automatically be filled by the President-Elect.

604 - President - The President shall preside at all meetings and shall be responsible for general supervision of all the work of the UAAB. At Membership Meetings the President shall have the right to vote in case of a tie vote only. The President shall appoint working committees and shall be an ex- officio member of all committees, and shall make additional appointments as deemed necessary to fulfill the needs of the organization. If the UAAB is affiliated with the Arizona Alumni Association, the President shall be responsible for keeping the Arizona Alumni Association informed of all activities as required by the Arizona Alumni Association.

605 - President-Elect - The President-Elect shall perform all duties and exercise all powers of the President when the President is absent or is otherwise unable to act. The President-Elect shall perform such other duties as may be prescribed from time to time by the Board of Directors, and shall assist the President in the administration of UAAB affairs for the good of all members.

606 - Secretary - The secretary shall keep minutes of all meetings of members and of the Board of Directors, shall be the custodian of the organizational records, shall give all notices as are required by these bylaws, and generally, shall preform all duties incident to the office of Secretary and such other duties as may be required by these bylaws, or which may be assigned time to time by the Board of Directors.

607 - Treasurer - The Treasurer is responsible for handling the money transactions in connection with meetings and events, including depositing all dues and fees in the bank designated by the Board of Directors. The Treasurer shall keep an accurate account of all financial transactions of the UAAB and shall submit a report at regular meetings of the Board of Directors or Membership Meetings. The Treasurer is also responsible to keep an accurate account of the Contributing Membership rolls.

Article VII - BOARD OF DIRECTORS

701 - Management - The direction and administration of the affairs and funds of the UAAB shall be vested in the Board of Directors.

702 - Composition

A. The voting Members of the Board of Directors shall be:

  • President
  • President-Elect
  • Secretary
  • Treasurer
  • Six (6) Members-at-Large

B. Ex-Officio non-voting Representatives to the Board include:

  • Immediate past UAAB President
  • UA Band Director
  • Representative of the Arizona Band Boosters
  • Student representative of the UA Band program

703 - Meetings

  • A. The Board of Directors shall meet at least four (4) times per year, or as called for by the President or a majority of the Board of Directors. Meetings may take place prior to or in conjunction with alumni events.

  • B. In the event it is necessary for the Board of Directors to make a decision but there is not time to call an in-person meeting, the President may transact the meeting with the UAAB Board Members via the telephone or other communication systems.

704 - Quorum - A majority of the Members of the Board of Directors shall constitute a quorum at any meeting of the Board of Directors. Any less number must adjourn until a quorum is present.

705 - Proxies - Any Board Member who is absent from all or any portion of any Board of Directors meeting, may appoint a representative who is a Contributing Member, who shall have proxy voting power authority on any matter which the Board Member could have voted had he or she been present. To be effective, such appointments shall be in writing, signed by the appointed Board Member, and filed with the presiding officer of the Board of Directors Meeting.

706 - Order of Business - The Order of Business at Board Meetings shall be determined by the presiding officer of the UAAB.

Article VIII COMMITTEES

801 - Committee Membership - All committees shall be comprised of a Chairperson who must be a Contributing Member, and at least two (2) other members from any membership category, unless otherwise stated in these bylaws. The President of the UAAB is a ex-officio member of all committees, with right to vote in case of a tie vote only, and shall appoint the Chairperson unless otherwise stated in these bylaws.

802 - Standing Committee - The standing committees shall be:

  • Nominating
  • Membership
  • Arbitration & Grievance
  • Finance
  • Communication
  • Awards & Student Recruitment

803 - Nomination Committee - The committee shall nominate one qualified person for each Board of Directors position that will become vacant, and will report to the Board of Directors at least thirty (30) days prior to the annual meeting.

804 - Membership Committee - The Membership Committee shall concern itself with expansion of membership and development of chapters, and make reports and recommendations to the UAAB Board.

805 - Arbitration & Grievance Committee - The UAAB President-Elect shall serve as Chairperson and the remaining members may not be Board of Directors Members. The committee shall investigate all petitions for reinstatement and any grievances brought forth, and report any recommendations to the Board of Directors.

806 - Finance Committee - The UAAB Treasurer shall serve as Chairperson. This committee shall recommend a budget and dues to the UAAB Board of Directors. The committee shall continually look for additional benefits for the UAAB Contributing Members, and shall oversee the sales of UAAB merchandise.

807 - Communication Committee - The UAAB Secretary shall serve as Chairperson. This committee shall be responsible for preparing and soliciting articles for the newsletter. The communication committee shall maintain current membership addresses as well as track membership participation in UAAB activities. It shall serve as a liaison with the Arizona Alumni Association for dissemination of UAAB information to the Alumnus magazines.

808 - Awards Committee - The Awards Committee shall recommend qualified candidates to the UAAB Board of Directors prior to the Annual Meeting. The Awards Committee shall standardize the awards to retain uniformity of shape, quality, form, and value from year to year. These awards shall only be given to qualified candidates, as determined by the awards committee and the UAAB Board of Directors.

809 - Student Recruitment - The Student Recruitment Committee shall assist the University of Arizona and its Band Program in the recruitment of students.

810 - Other Committees - The President may appoint other committees as he/she sees fit.

Article IX - FISCAL MATTERS

901 - Fiscal Year - The fiscal year of UAAB shall be July 1 through June 30.

902 - Banking Account - All UAAB funds shall be held in the name of the "University of Arizona Alumni Band" in a federally insured bank designated by the UAAB Board of Directors.

903 - Disbursement of Funds - The Treasurer or the President has the authority to disburse monies from the UAAB account on the Treasurer's or President's authority/signature for any amounts under $500.00. Any disbursements of amounts of $500.00 and over shall be made only on the authority and signature of the Treasurer and the President with approval of the UAAB Board of Directors.

904 - Dissolution - In the event of dissolution of the UAAB, any funds remaining shall be distributed to one or more regularly organized and qualified charitable, educational organization to be selected by the Board of Directors, in accordance with UAAB's purposes.

Article X - BYLAWS

1001 - Amendments

  • A) These Bylaws may be adopted, altered, amended or repealed by an affirmative two-thirds (2/3) vote of the Contributing Members present and voting at any duly-called meeting of the membership.

  • B) Any changes to these Bylaws voted by the membership, must be approved by the Arizona Alumni Association Board of Directors.

1002 - Interpretation - In case of any doubt or ambiguity in the interpretation of a Bylaw or any provision, by UAAB Numbers, the UAAB Board of Directors shall have the right to determine, and its decision shall be final. Subject to approval of the Arizona Alumni Association Board of Directors.

1003 - Rules of Order - Robert's Rules of Order, latest edition, shall be recognized as the authority governing the meetings of UAAB, its Board of Directors and Committees, in all instances, wherein, its provisions do not conflict with these Bylaws.
